WAIVER, RELEASE AND HOLD HARMLESS AGREEMENT

THIS AGREEMENT is entered into by and between Trunk Klassic Entertainment, LLC and Operation Groundwerk Youth
Foundation (hereinafter referred to as "Organizer") and (hereinafter referred to as "Vendor").

WHEREAS, the Organizer is sponsoring the "Trunk Klassic Car Show" event (the "Event") to be held July 12, 2008, in
Atlanta, Georgia; and
WHEREAS, in consideration of Organizer's willingness to allow Auto Owner to showcase his or her automobile(s) in the
Event, Auto Owner is willing to execute this Waiver, Release and Hold Harmless Agreement and to provide the
protections set forth below;

NOW, THEREFORE, the parties agree as follows:
1. Auto Owner accepts and voluntarily incurs all risks of any injuries, damages, or harm which arise during or result
from his or her participation in the Event, regardless of whether or not caused in whole or in part by the negligence or
other fault of Organizer and/or its directors, officers, affiliates, employees, agents, or insurers (together, the "Released
Parties").

2. Auto Owner waives all claims against any of the Released Parties for any injuries, damages, losses or claims which
arise during or result from his or her participation in the Event, regardless of whether or not caused in whole or part by
the negligence or other fault of any of the Released Parties. The Auto Owner, on behalf of himself or herself and on
behalf of his or her heirs, assigns, and any other person claiming by, under or through him or her, releases and forever
discharges the Released Parties from all such claims.

3. Auto Owner agrees to indemnify and hold the Released Parties harmless from all losses, liabilities, damages, costs or
expenses (including but not limited to reasonable attorneys' fees and other litigation costs and expenses) incurred by
any of the Released Parties as a result of any claims or suits which pertain to, arise out of, result from, or relate to Auto
Owner's participation in the Event, regardless of whether or not caused in whole or part by the negligence or other fault
of any of the Released Parties.

4. Auto Owner acknowledges and covenants that he or she (i) has received, understands, and will abide by the 2008
Trunk Klassic Car Show Rules and Regulations, (ii) will comply with all applicable laws while participating in the
Event, and (iii) has carefully read and reviewed this Waiver, Release And Hold Harmless Agreement, has understood it
fully, and executes it voluntarily.

Pre-registered participants will receive door prizes and all participants will receive goodie bags.

WHAT VEHICLES WILL BE INCLUDED
Hot rods, classics, customs, street rods, muscle cars, trucks, antiques, motorcycles, choppers, cruisers,
street bikes, 4x4's, race cars, restoration projects, low-riders, sport compacts and more. All categories
include both original and modified classes.

HOW WINNERS WILL BE CHOSEN
Judging will be done by the public. There will be a vote box and ballots for them to complete. Trophies
will be given per Category. Tie breakers will be determined by CROWD FAVORITE.
